1. Agreement to Terms

By accessing or using Uniworx ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Uniworx Ltd ("Uniworx", "we", "our", or "us").

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

3.2 Account Types and Roles

The Service provides different account types:

  • Guest: Limited access pending role assignment
  • Student: Browse projects, submit applications, upload submissions
  • Supervisor: Oversee student projects, manage attendance, provide feedback
  • Academic Supervisor: Read-only access to cohort attendance and submissions for university oversight
  • Project Provider: Submit and manage projects
  • Admin: Full platform management capabilities

4. Acceptable Use

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is designed to facilitate academic project management, student-supervisor collaboration, and industry partnerships.

4.2 Prohibited Activities

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload viruses, malware, or malicious code
  • Attempt to gain unauthorized access to the Service or other user accounts
  • Use automated systems (bots, scrapers) without permission
  • Harass, abuse, or harm other users
  • Submit false or misleading information
  • Interfere with or disrupt the Service
  • Use the Service for commercial purposes without authorization

5. User Content

5.1 Your Content

You retain ownership of all content you submit to the Service ("User Content"), including project submissions, project descriptions, and other materials. By submitting User Content, you grant us a limited license to:

  • Store and display your User Content on the Platform
  • Share your User Content with authorized users (supervisors, administrators)
  • Make backups for security and service continuity

5.2 Content Responsibilities

You are solely responsible for your User Content and represent that:

  • You own or have necessary rights to submit the content
  • Your content does not violate any third-party rights
  • Your content complies with these Terms and applicable laws

5.3 Content Monitoring

We reserve the right (but have no obligation) to monitor, review, and remove User Content that violates these Terms or is otherwise objectionable.

6. Intellectual Property

The Service, including its design, features, functionality, and content (excluding User Content), is owned by Uniworx Ltd and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7. Project Allocations

Project allocations are made at the discretion of administrators and supervisors. We do not guarantee:

  • Acceptance of any project application
  • Allocation to your preferred project
  • Availability of specific projects

Allocation decisions are final and binding, subject to administrative review.

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with UK GDPR.

9. Service Availability

We strive to provide reliable and uninterrupted service. However, we do not guarantee that:

  • The Service will be available at all times
  • The Service will be error-free or secure from unauthorized access
  • Defects will be corrected immediately

We may suspend or terminate the Service for maintenance, updates, or other reasons with or without notice.

10. Limitation of Liability

To the fullest extent permitted by law, Uniworx Ltd shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from your use or inability to use the Service
  • Unauthorized access to or alteration of your transmissions or data
  • Third-party content or conduct on the Service

Our total liability shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Uniworx Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy(30-day grace period applies).

12.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the Service or other users
  • Remain inactive as a Guest account for over 2 years

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination (including indemnification, limitation of liability, and dispute resolution) will remain in effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any disputes informally by contacting us at support@uniworx.com.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Uniworx Ltd regarding the Service.
